Terms of Service

This Terms of Service document (the "TOS") is an agreement you must accept in order to use CrossFiles (the "Service"). This document describes both your rights and obligations as part of using the Service. It is important that you read it carefully because you will be legally bound to these terms. By accepting this TOS or by accessing or using the Service, you agree to be bound by this TOS, including the Privacy Policy, which is incorporated here by reference.
If you are entering into this TOS on behalf of a company or other legal entity, you represent that you have the authority to bind such entity, its members, and its affiliates to this TOS. If you do not have such authority or do not agree with this TOS, you may not use the Service. You acknowledge that this TOS is a contract between you and CrossFiles, even though it is electronic and is not physically signed by you and CrossFiles, and it governs your use of the Service.
As our business evolves, CrossFiles may change this TOS. If we make a material change to the TOS, we will provide you with reasonable notice, either by emailing the address associated with your account or by posting a notice on the Site. The revised terms will become effective on the date set forth in our notice, and if you use the Service after that date, your use will constitute acceptance of the revised terms. If any change is not acceptable to you, your only remedy is to cancel your account.
1. Description of Service
The "Service(s)" means CrossFiles’ case management, real-time communication, and file-sharing platform, including all software, applications, data, reports, text, images, and other content made available by or on behalf of CrossFiles. The "Service" does not include any data you upload or any third-party integrations. CrossFiles reserves the right to modify or discontinue any feature or functionality at any time without notice.
CrossFiles integrates with third-party services, including Stripe for payment processing ([INSERT STRIPE TERMS LINK HERE]) and ONLYOFFICE for secure document management. By using these services, you agree to their respective terms and conditions in addition to this TOS.
The Service is available only to users within the United States. CrossFiles does not currently support access or use outside of the U.S. Users must ensure compliance with federal and state-specific regulations regarding data privacy, document management, and attorney-client confidentiality.
2. User Responsibilities

You are responsible for all information you add into the cases, including member invitations and file sharing.

You may access and use the Service only for lawful purposes. While you may use the platform for any legal activity, its primary purpose is to facilitate the management of Written Discovery Cases.

You are responsible for maintaining the confidentiality of your login credentials and all activities that occur under your account.

You must ensure that all shared files comply with applicable laws and do not infringe on any third-party rights.

You are solely responsible for compliance with all federal, state, and local laws, as well as Civil and Criminal Rules for the jurisdiction in which your case is proceeding, including Local Rules, governing case management, document sharing, and legal communications.

Users must not upload privileged or confidential legal documents that could violate legal ethics or data protection laws without proper authorization.
3. Case Management and Communication

Cases can be organized by status (Open, Closed, Stayed) and by Court (Ohio, Federal).

Deadlines for written discovery phases are automatically calculated based on predefined court rules. If a user requests an extension, they must manually input the new due date. Users should verify the automatically created deadlines are accurate for the jurisdiction in which their case is proceeding.

Communication is case-specific, with each case having its own real-time chat, which can be for all parties or internal use only.

File sharing permissions allow documents to be shared with all parties or restricted to the user's own party. Users can add or remove access based on case members, and members can also be removed from the case.
4. User Roles and Access
CrossFiles provides different user roles:

Admin: Has full control over case management and member access.

Lawyer: Can interact with case details and share files within assigned permissions.

Viewer: Can only read case details but cannot interact or modify information.
5. Subscription and Payment

Users can create up to three cases for free. After this limit, a subscription is required.

Subscription plans are available on a monthly or yearly basis and are processed via Stripe Checkout.

If you dispute any charges, you must notify CrossFiles within sixty (60) days.
6. Data Privacy and Security

Your Data includes all case-related information, messages, and uploaded files.

CrossFiles will take reasonable security measures to protect your data but does not guarantee absolute security.

You are responsible for ensuring that your data complies with all U.S. federal and state-specific regulations.

CrossFiles does not provide data backup guarantees and is not responsible for lost or deleted files.
7. Legal Protections & Liability Limitations

CrossFiles is a platform for legal professionals to manage cases, but it does not provide legal advice or representation.

By agreeing to use CrossFiles, you have provided your consent to CrossFiles as a means of electronic service in accordance with the Civil Rules and Criminal Rules of the jurisdiction in which your case is proceeding.

CrossFiles is not liable for any legal outcomes, compliance failures, or case mismanagement that results from the use of the Service.

You acknowledge that all information you upload, including case details, messages, and files, is solely your responsibility. CrossFiles is not responsible for any disputes, errors, or damages arising from inaccurate, incomplete, or unauthorized content.

If you violate any laws while using the Service, CrossFiles reserves the right to terminate your access without notice.

CrossFiles shall not be liable for any indirect, incidental, special, or consequential damages.

State-Specific Legal Notices: If you are an attorney using CrossFiles in California, Texas, or New York, you are responsible for ensuring compliance with state bar association rules regarding cloud-based document management and client data security.
8. Indemnification
You agree to indemnify, defend, and hold harmless CrossFiles, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with:

Your use of the Service.

Your violation of these Terms of Service.

Your violation of any federal or state laws or Civil or Criminal Rules governing legal data management.
9. Termination of Service

CrossFiles reserves the right to deactivate and delete your account at any time for any reason.

Upon termination, all user data may be permanently deleted unless otherwise required by law.

Case information will remain on CrossFiles for a period of 2 years upon case termination.
10. Governing Law and Dispute Resolution

This TOS shall be governed by the laws of the United States and the State of Delaware.

Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules.
